The Power of Language: Halloween Edition

As lawyers, we understand the impact of language. Words, even commas, can completely change the meaning of a sentence. Contracts can fall apart upon the wrong wording. A clause that would otherwise be enforceable can be deemed null and void.

What is equally significant are the words omitted. Omissions can be detrimental in contractual disputes. The parol evidence rule, a substantive common law rule, prevents a party from submitting extrinsic evidence regarding a written contract that appears to be whole.

So on this Halloween, let’s appreciate the best invitation to treat (known as an invitation to bargain in America): “Trick or Treat”.
